STEP１. Plan M&A strategies
・Feasibility Studies, Research for industry/company information etc.
・Assist in clarifying the purpose and direction of the M&A.
・Listing up target companies.
STEP２. Contact with Target Companies
・Feedback on the results of preliminary contact with target companies.
・Advise on further adjustments to the acquisition plan.
・Arrange for further negotiations with target companies.
STEP３. Preliminary negotiation of acquisition conditions
・Advise on M&A structure and possible acquisition costs.
・Prepare valuation assessment.
・Assist in drafting the necessary agreement and statement of intention to be submitted to the target company.
STEP４. Conduct Due Diligence
・Introduce & arrange Due Diligence experts (finance, tax, labor, legal etc.)
・Assist in conducting and controlling Due Diligence.
・Advise on the issues arising from the Due Diligence.
STEP5. Negotiation and determination of acquisition conditions
・Advise on modifying the acquisition conditions based on Due Diligence.
・Negotiation with target company.
・Advise on funding for acquisition costs when needed.
STEP6. Signing and settlement of acquisition agreement
・Assist in press release, IR and other procedures.
・Assist in preparing necessary agreements and other documents.
・Advise on follow up matters after M&A deal is completed. (accounting and tax/ internal control/ necessary communication to Parent Company etc.)
